Please read these Terms and Conditions carefully before using Ingenuity OS, operated by The Ingenuity Engine™. By accessing or using the platform, you agree to be bound by these terms.

1. Acceptance of Terms

By creating an account or accessing Ingenuity OS, you confirm that you are at least 18 years of age, have the legal authority to enter into this agreement, and agree to these Terms and Conditions in full. If you do not agree, do not use the platform.

2. Platform Access and Subscription

Ingenuity OS is provided on a subscription basis. Access to the platform requires an active paid subscription. Subscriptions are available on monthly or annual terms as described on our pricing page.

  • The Premier plan ($297/month or $2,950/year) includes full platform access, team support, and monthly implementation calls.
  • The Starter plan ($97/month or $970/year) includes platform access only with no team support.
  • A one-time setup fee may be required for certain onboarding tiers.
  • Subscriptions automatically renew unless cancelled prior to the renewal date.
  • Access to the platform will be paused if your subscription lapses.

3. Additional Usage Fees

Certain features within Ingenuity OS are subject to additional usage-based fees beyond your base subscription. These include but are not limited to:

  • SMS and text message sending
  • Voice AI call handling
  • Conversational AI and chatbot interactions
  • AI Agent usage beyond included limits
  • Email volume beyond included limits
  • Other premium or high-volume feature usage

Usage fees are billed based on actual consumption and will be communicated clearly before activation of any additional features.

4. Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting us at [email protected]. Upon cancellation, your access will remain active through the end of your current billing period. We do not offer refunds for partial billing periods. Setup fees are non-refundable.

5. Acceptable Use

You agree to use Ingenuity OS only for lawful business purposes. You may not use the platform to:

  • Send spam, unsolicited messages, or violate anti-spam laws including CAN-SPAM and TCPA
  • Engage in deceptive, fraudulent, or misleading practices
  • Violate any applicable federal, state, or local laws
  • Infringe on the intellectual property rights of any third party
  • Attempt to gain unauthorized access to platform systems or other user accounts

Violations may result in immediate account termination without refund.

6. Data and Privacy

Your use of the platform is also governed by our Privacy Policy. You are responsible for ensuring that any data you upload, import, or collect through Ingenuity OS complies with applicable data protection laws.

7. Intellectual Property

All content, features, and functionality of Ingenuity OS including but not limited to software, design, text, graphics, and logos are the exclusive property of The Ingenuity Engine™ and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without prior written consent.

8. Disclaimer of Warranties

Ingenuity OS is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the platform will be uninterrupted, error-free, or completely secure. Results from using the platform vary based on individual business, effort, implementation, and other factors. No specific outcomes are guaranteed.

9. Limitation of Liability

To the maximum extent permitted by law, The Ingenuity Engine™ shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use Ingenuity OS. Our total liability to you for any claims shall not exceed the amount you paid in the 12 months preceding the claim.

10. Modifications

We reserve the right to modify these Terms at any time. We will notify active subscribers of material changes via email. Continued use of the platform after changes take effect constitutes acceptance of the updated Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Orange County, California.
